Oregon PRIMA Board Meeting

12:15 p.m. Call to Order

In Attendance:

Old Business:

Board of Director vacancies were discussed. Following discussion it was agreed the positions would be opened for election. Interested individuals will be contacted and an electronic ballot sent to voting members.

The proposed Bylaws Amendments were discussed. Many changes are non-substantive.  The substantive changes are as follows: Clarification in several sections that Board members are not required to be the designated "voting" representative of the government member.

Section VI.  Changes the beginning of a term in office to "immediately following the annual conference" from "January 1."

Section VI.  Removes the requirement for certain chapter activities to occur in certain months.

Section VI.  Adds a requirement for the President to be a member of the national PRIMA organization as required by the affiliation agreement.

Section VI.  Deletes the requirement for the Vice President to be a member of the national PRIMA organization.
 
Section VII.  Changes the requirement for voting from "plurality" to "majority."
 
Section IX.  Change the requirement for voting from "plurality" to "majority."

Results of the Board election and Bylaws amendments will be presented at the next Board meeting.

There being no further business the meeting was adjourned at 12:50 p.m. The next Board of Directors meeting will be held Friday, December 4, 2009 at the Red Lion in Salem.
